Every contract is full of obligations, nobody knows which ones are being met. MCVL ensures contract value never goes unnoticed and you derive maximum savings.
Six ways your contracts are leaking money.
Each one is money you negotiated and never received.
Rebates earned, never paid.
You hit the spend tier, but the rebate never arrived.
Discounts agreed, never applied.
The invoice still charges the old price.
Best price promised, never matched.
Your supplier offered someone else a lower price. You still pay more.
Price cuts announced, never passed on.
Your supplier dropped its prices. Yours stayed the same.
Credits owed, never claimed.
Late deliveries and missed service levels earned you money back.
Audit rights signed, never used.
You can check every term. Nobody has the time to.
Five stages, from the contract to savings.
Read the contract
Every clause, every amendment.
- Read base agreements, amendments, appendices and price lists, scanned pages included.
- See each rebate term beside the exact wording on the page.
- Know which terms could not be read, instead of finding out later.
Compute the entitlement
The contract’s words, turned into math.
- Get the amount owed from the clause as written, applied to your own spend and P2P data.
- See every inclusion and exclusion in the spend base as a decision.
- Answer one question when a clause reads two ways, with both figures priced.
Reconcile what arrived
Owed, paid and the gap.
- Match each entitlement against AP postings and credit notes.
- See what you were owed, what the supplier paid and the gap, per contract and period.
- Know a real gap from a credit that already landed.
File the claim
Here’s the clause. Here’s the math.
- Review a claim drafted with the clause quoted and the calculation attached.
- Approve and send. Nothing reaches a supplier without a named person.
- Keep approval thresholds: large figures wait for countersignature.
Recover the money
Through to the final number.
- Track each claim, deadline and supplier response, including disputes.
- Recompute with the supplier’s figures and keep every change on record.
- See savings held, claimed and recovered across the portfolio.
3.2% on annual revenue from USD 4M to 5M
Net invoices for products covered by the Agreement, per contract year
Any company under more than 50% common control
4% printed, overwritten by hand as 3.7%
USD 4,612,880 × 3.2% = USD 147,612The rebate pays only on products in the 446-part Exhibit D list. Which base should the figure rest on?
Claim drafted by MCVL Draft · nothing is sent until you approve
Dear Kestrel Accounts Receivable team,
Under Article 7.13 of Frame Agreement CON14227, the 2025 volume growth incentive was due by bank transfer by June 2026:
A rebate of 4% shall be paid on purchase orders placed in the Contract Year for Appendix 2 equipment.
Qualifying purchase orders in 2025 total USD 7,979,254, which gives USD 318,342. We have no record of that payment. The working and source pages are attached.
Works on its own. Checks with you when it matters.
Runs on schedule, unprompted
Scheduled runs sweep the whole portfolio, and new amendments or refreshed spend trigger a fresh check. Nobody has to remember to look.
Asks rather than guesses
When a clause reads two ways, it prices both and asks one precise question, instead of picking the bigger number.
Every figure cites the page
Clause, document, page and verbatim quote travel with every finding, so a supplier argues with the contract, not your spreadsheet.
Nets off what already arrived
AP postings and credit notes are reconciled first, so a finding is a claim, not an accusation.
Challenge it in plain words
Ask which clause a figure came from, include affiliate spend or use the other reading, and watch the number update.
Audit trail built in
Every decision, recomputation and supplier response lands in one exportable record, attached to the claim it justifies.
Universal recognition, undisputed leadership.
Questions buyers ask about contract value leakage
Still have a question?
Bring a supplier agreement with a rebate clause and we’ll walk through what MCVL finds in it.
Talk to usWhat is contract value leakage?
Contract value leakage is money a buying organization is entitled to under its supplier contracts but never receives, such as unclaimed volume rebates, discounts not applied and prices that do not match agreed terms. It is leakage by omission: every invoice is correct as issued, so nothing flags the money that never arrived. Merlin Contract Value Leakage Agent finds it and helps recover it.
What is Merlin Contract Value Leakage Agent?
Merlin Contract Value Leakage Agent (MCVL) is an autonomous agent on the Merlin Agentic Platform. It reads supplier contracts, computes what you are owed from your spend and purchase-to-pay data, reconciles that against AP postings and credit notes, and drafts the claim. It runs on a schedule without being asked and stops only when a clause is genuinely ambiguous. It works alongside Merlin Intake, Merlin Autonomous Sourcing and the Autonomous Negotiation Agent (ANA).
How is MCVL different from a recovery audit?
A recovery audit is a periodic review, usually after the year closes, built mainly to find overcharges and duplicate payments. MCVL runs continuously while claim windows are still open, focuses on entitlements that never arrived, and attaches the clause, page and verbatim quote to every figure, so findings can be acted on immediately.
Which savings does MCVL cover today?
Today MCVL covers rebates and discounts, including tiered volume and growth rebates and volume discounts. Other mechanisms, such as most-favored-nation pricing, price protection and performance or delivery credits, are planned for a later phase.
What happens when a contract clause is ambiguous?
MCVL never picks between two honest readings. It prices both, shows which is narrower and asks the person who owns the contract one precise question. Once answered, it recomputes, reconciles against AP and records the decision as part of the claim’s justification.
Does MCVL file claims with suppliers on its own?
Not by default. MCVL drafts every claim against the clause with the working attached, and a named person approves and sends it. Teams can later let it proceed on its own above a confidence bar, below a value threshold or for a named supplier group. Autonomy is a setting, and it ships switched off.
What data does MCVL need?
Four inputs: contracts from Zycus iContract, document stores or mailboxes; line-level spend; purchase-to-pay data such as POs, goods receipts and invoice lines; and AP postings and credit notes. MCVL is built into the Zycus Source-to-Pay suite and connects to SAP, Oracle and other ERPs.
